Sign-up for the SoSafe service constitutes acceptance and approval of the following terms of service.
Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the SoSafe service by Traction Health ("us", "we", or "our").
Access to and use of the Service is contingent upon your acceptance of and compliance with these terms. These terms apply to all users, employees, managers, owners and others who wish to access or use the service. By accessing or using the SoSafe service, you agree to be bound by these terms.
If you disagree or dispute these terms, you are not permitted to use or otherwise access the SoSafe service.
The SoSafe system will communicate information to you regarding elements of your patron or customer interactions and in the event of contact with an infected person. You may be contacted through the system for service, request a bill or request a manager. Patrons may also communicate with you through the system regarding forgotten items and feedback.
SoSafe will provide numbers and first names to the business in the event of a contact event. Only the relevant numbers based on the time and proximity of contact in the specific location will be provided.
Subscriptions are based on two elements, a fixed monthly fee and a variable fee per check-in charge. Fees will be agreed upon in advance.
The fixed monthly fee will be billed in advance and the variable check-in charges will be billed at t he end of each month.
Subscriptions automatically renew each month unless the business notifies SoSafe 15 days in advance or the service is cancelled by SoSafe. To cancel the SoSafe service, contact us 15 days prior to your cancellation date.
Subscriptions require a valid payment method, including a credit card for payment processing of the subscription fee and variable check-in charges.
Payment and billing also require a valid billing address, principle payment contact at the business and phone number. Submission of this information constitutes authorization for Traction Health to charge a monthly subscription fee and for variable check-in charges as agreed.
Manual billing may be used in the event of an automated billing failure, interruption or other payment issue. All other terms, conditions and agreements from the automated billing remain in force for manual billing.
SoSafe may provide a free trail or POC (Proof of Concept) at its sole discretion. SoSafe is not obligated to provide any establishment with a free trial, POC or other incentive.
If a free trail or POC is provided, the business may be required to provide complete business information up to and including billing information for when the trail or POC is complete.
SoSafe reserves the right to, at any time and without notice to, (i) Modify the terms and conditions of a free trial or POC, or, (ii) cancel the free trial or POC
SoSafe may with sole discretion and at any time, adjust subscription fees and or variable check-in and relationship management fees. Any fee change will become effective at the end of the then-current billing cycle unless the subscription is cancelled.
Prior notice of any fee or charge changes will include reasonable prior notice of any change in subscription fees or check-in fees.
Continued use of the service after any fee change comes into effect constitutes your acceptance and approval of the changes.
Refunds for subscription fees, but not variable check-in charges may be considered on a case by case basis. Refunds are provided at the sole discretion of SoSafe and its parent company Traction Health.
SoSafe provides you with the ability communicate passively with individuals who have checked in to your establishment. All content on the SoSafe system is designed to be simple, clear and conflict free.
Content generated by or found on or through SoSafe are the property of SoSafe or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said content, whether in whole or in part, for commercial purposes or for personal gain, without the express advance written permission from us.
SoSafe will provide specialized proprietary equipment to each location. All equipment is the property of SoSafe and remains on site contingent to a valid account, subscription agreement and account in good standing.
If an account is terminated or cancelled, all equipment is to be returned to SoSafe within 15 days of termination.
Equipment that fails or does not perform as required is to be returned to SoSafe for replacement or repair at SoSafe’s discretion.
Loss, damage or failure to return equipment may result in a replacement fee.
To open an account with SoSafe, you must be at least 18 years of age, be a principal, owner or manager of the business you represent and provide accurate, complete, and current contact, billing and other relevant information at all times. Inaccurate or incomplete information may terminate or void your account and use of the service.
Account passwords, confidentiality and access are the sole responsibility of the business user. We are not responsible for actions taken by parties with access to your password, account or computer. In the event of an issue of security breach, you must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
SoSafe and all related code, functionality, features (the software, the system) and intellectual property belong exclusively to Traction Health. No part of this service may be offered, used or copied for an unauthorized user.
Links To Other Web Sites
SoSafe the service, may contain links to third party web sites or services that are not owned or controlled by SoSafe or its parent, Traction Health.
SoSafe and Traction Health have no control over and assume no responsibility for the content, privacy policies, or practices of any third party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.
You acknowledge and agree that SoSafe and Traction health will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such third party web sites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third party web sites or services that you visit.
Termination or suspension of accounts and or barring of access to accounts can be done immediately and without prior notice, at our sole discretion. This can be done for any reason, without limitation including breach or terms.
If you wish to terminate your account, and cancel your subscription, simply contact us to make arrangements at email@example.com
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
You agree to defend, indemnify and hold harmless SoSafe, Traction Health and its licensee and licensors, and their employees, contractors, agents,
officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including
but not limited to attorney's fees), resulting from or arising out of a) your use and access of the service, by you or any person using your account and password; b) a breach of these terms, or c) Content posted on the service.
Limitation Of Liability
In no event shall SoSafe or its parent, Traction Health, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Your use of the service is at your sole risk. The service is provided on an "AS IS" and "AS AVAILABLE" basis. The service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
SoSafe and its parent, Traction Health, subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.
Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.
These Terms shall be governed and construed in accordance with the laws that apply to Canada, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire
agreement between us regarding our service and supersede and replace any prior agreements we might have had between us regarding the service.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 day's notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
